Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Supernova website at supernova-labs.ai, the Supernova API, the account console, and related services (together, the "Service"). The Service is operated by Nova Intelligence Machine Pte. Ltd. (UEN 202631799R), a company incorporated in Singapore with its registered office at 3 Gambas Crescent, #04-01, Nordcom One, Singapore 757088 ("Supernova", "we", "us"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind it, and "you" refers to that organisation.
1. Eligibility and accounts
- You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
- You are responsible for your account, for keeping your credentials and API keys confidential, and for all activity under them. Tell us at contact@supernova-labs.ai immediately if you believe a key or account has been compromised; we can revoke keys at any time on request.
- You must give us accurate contact details and keep them current.
2. The Service
Supernova provides programmatic access to machine-learning models hosted by us or our infrastructure partners, through OpenAI- and Anthropic-compatible endpoints, together with a console for managing keys, credits and usage. We may add, change, or retire models, endpoints, and features. Where a change materially reduces the Service, we will make reasonable efforts to give notice in advance through the website or by email.
3. Credits, pricing and payment
- The Service is prepaid. You purchase credits denominated in United States dollars and allocate them to API keys. Each request reduces a key's credit by the amount shown on our Pricing page, calculated from the tokens processed.
- Prices are quoted in USD and may change. Price changes apply to usage after the change takes effect; we will publish them on the Pricing page and, for increases, give at least 14 days' notice by email.
- Payments are processed by Stripe. We do not store your card details. You authorise us and our payment processor to charge the payment method you provide for the amount you select.
- Because a request's cost is only known when it completes, a key may briefly exceed its allocated credit by at most the cost of its in-flight requests. Any such overrun is deducted from your wallet balance when the key is deleted, and your balance may become negative as a result. While your balance is negative you cannot create keys or add credit to them; your next purchase of credits is applied to the negative balance first.
- Credits are non-refundable and non-transferable except as described in our Refund Policy, which forms part of these Terms.
- You are responsible for any taxes applicable to your purchases other than taxes on our income.
4. Acceptable use
You must not, and must not allow others to:
- use the Service to violate any law or the rights of any person, including intellectual-property, privacy and data-protection rights;
- generate or distribute content that is unlawful, defamatory, harassing, sexually exploitative of minors, or that promotes violence or terrorism;
- use the Service to develop malware, to attack or probe any system without authorisation, or to circumvent our security, rate limits or billing;
- resell, sublicense or share your access or API keys with third parties, or operate a service that presents our API as your own without our written consent;
- attempt to extract model weights, or use outputs to train a model that competes with the models we serve where the model provider's licence prohibits it;
- send us personal data that you are not entitled to share, or any data for which applicable law requires safeguards we have not agreed to provide.
We may suspend or terminate access that we reasonably believe violates this section, and we may report unlawful activity to the authorities.
5. Your content and outputs
You retain all rights in the inputs you send to the Service and, as between you and us, in the outputs generated for you. You grant us a licence to process inputs and outputs solely to provide, secure and improve the Service and to comply with law. We do not store the content of your API requests or responses after they have been served; we keep metadata such as token counts, timestamps and cost for billing. Outputs of machine-learning models may be inaccurate or inappropriate; you are responsible for evaluating them before relying on them.
6. Intellectual property
The Service, including its software, documentation, branding and design, is owned by Supernova or its licensors and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with them. No other rights are granted. Third-party models made available through the Service remain subject to their respective licences.
7. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may perform maintenance, throttle requests, or set concurrency limits per key to protect the platform. Support is provided by email at contact@supernova-labs.ai.
8. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or related to these Terms or the Service; and (b) Supernova's total aggregate liability arising out of or related to these Terms or the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including for fraud or for death or personal injury caused by negligence.
10. Indemnity
You will defend, indemnify and hold harmless Supernova and its officers, employees and agents from any claim, loss or expense (including reasonable legal fees) arising from your inputs, your outputs, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
11. Suspension and termination
You may close your account at any time by emailing us. We may suspend or terminate your account for breach of these Terms, for non-payment, where required by law, or where continued provision would create risk to us or others; where practicable we will give notice. On termination your API keys stop working. Sections that by their nature should survive termination, including 3, 5, 6, 8, 9, 10 and 13, survive.
12. Changes to these Terms
We may update these Terms. The effective date at the top shows the current version. For material changes we will give notice on the website or by email at least 14 days before they take effect. Continued use after that date constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, and each party submits to that jurisdiction. Before starting proceedings, the parties will attempt in good faith to resolve the dispute by discussion for at least 30 days.
14. General
These Terms, the Pricing page, the Privacy Policy and the Refund Policy are the entire agreement between you and us about the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to us should be sent to contact@supernova-labs.ai or to our registered office.
